Terms of Service

These Terms of Service govern your access to and use of Panicly, including our website, dashboard, API gateway, developer tools, logs, usage metering, billing features, security features, and related services.

1. Who we are

Panicly is an AI usage protection, gateway, and metering platform. Panicly helps developers and companies protect AI-powered applications from abuse, unexpected costs, suspicious usage, and operational issues.

2. Eligibility

You may use Panicly only if you can legally enter into a binding agreement.

If you use Panicly on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for making sure your use of Panicly complies with all laws, regulations, and obligations that apply to you.

3. Your account

You are responsible for:

  • Providing accurate account information
  • Keeping your login credentials secure
  • Maintaining the confidentiality of your API keys and provider credentials
  • All activity that occurs under your account, workspace, projects, API keys, and integrations

You must notify us promptly if you believe your account, API keys, or credentials have been compromised.

We are not responsible for losses caused by your failure to protect your account, credentials, API keys, or project configuration.

4. Panicly services

Panicly may provide features including:

  • AI gateway routing
  • Request protection rules
  • Rate limits
  • Token limits
  • Abuse detection
  • Loop detection
  • Model allow/block rules
  • Region and network controls
  • Kill switch functionality
  • Request logs
  • Audit logs
  • Usage metering
  • Billing and subscription management
  • Provider routing
  • Custom rules
  • Developer tools and APIs

We may add, modify, suspend, or remove features over time. Some features may only be available on certain plans.

5. Customer applications and end users

Panicly is designed to be used by developers and companies inside their own applications.

You are responsible for:

  • Your application
  • Your users
  • Your prompts, requests, outputs, and AI usage
  • Your own privacy policy and terms
  • Informing your users about any logging, AI processing, IP logging, metadata collection, or provider processing
  • Getting any required consent from your users
  • Making sure your use of Panicly is lawful

Panicly is not responsible for your application, your users, your content, or your use of AI providers.

6. API keys and provider credentials

You may connect third-party AI provider credentials, API keys, or routing configuration to Panicly.

You are responsible for:

  • Having the right to use those credentials
  • Keeping your provider accounts in good standing
  • Complying with provider terms
  • Rotating credentials if they are exposed
  • Paying provider costs unless otherwise stated

Panicly may use your connected credentials only to provide the service and route requests according to your configuration.

We are not responsible for charges, suspensions, limits, errors, or policy enforcement by third-party AI providers.

7. Request routing and third-party AI providers

When you use Panicly to route AI requests, those requests may be sent to third-party AI providers based on your configuration.

Those providers may process requests according to their own terms, privacy policies, retention settings, safety systems, and usage rules.

Panicly does not control third-party AI providers. We are not responsible for:

  • Provider downtime
  • Provider errors
  • Provider rate limits
  • Provider model behavior
  • Provider output quality
  • Provider pricing changes
  • Provider account suspensions
  • Provider safety decisions
  • Provider data handling outside Panicly

You are responsible for reviewing and complying with the terms of any AI provider you use through Panicly.

8. Customer data

“Customer Data” means data you or your users submit to Panicly, including prompts, outputs, request metadata, logs, project settings, API traffic, security events, and configuration data.

You retain ownership of your Customer Data.

You grant Panicly a limited right to process Customer Data only as necessary to:

  • Provide the service
  • Route requests
  • Enforce rules
  • Meter usage
  • Generate logs and dashboards
  • Debug issues
  • Prevent abuse
  • Maintain security
  • Process billing
  • Provide support
  • Comply with legal obligations

Panicly does not sell Customer Data. Panicly does not use Customer Data to train AI models.

9. No training on customer data

Panicly does not use customer data, user data, request logs, prompts, outputs, API traffic, metadata, or any other customer content to train, fine-tune, improve, or develop AI models.

This commitment applies to any current or future AI systems developed by Panicly, including any model, classifier, detection system, abuse-prevention model, suspicious-request detector, routing system, or internal AI feature.

If Panicly develops its own AI models or detection systems in the future, we will not train them on customer data unless a customer gives clear, explicit, written permission for that specific purpose.

  • We do not train models on customer prompts.
  • We do not train models on customer completions or AI outputs.
  • We do not train models on customer request logs.
  • We do not train models on customer metadata.
  • We do not use customer API traffic to build future Panicly models.
  • We do not sell customer data to AI model providers.
  • We do not allow third parties to train models on customer data through Panicly.

Panicly may use aggregated, anonymized, and non-customer-identifying operational metrics to improve reliability, billing accuracy, abuse prevention, security, capacity planning, and product performance.

10. Acceptable use

You may not use Panicly to:

  • Break the law
  • Violate the rights of others
  • Send malware, phishing content, spam, or abusive traffic
  • Attack, overload, scan, or disrupt Panicly or other systems
  • Bypass usage limits, billing systems, rate limits, or security controls
  • Resell Panicly in a misleading or unauthorized way
  • Reverse engineer, copy, or abuse Panicly’s systems
  • Use stolen, leaked, or unauthorized API keys
  • Interfere with other users’ access to Panicly
  • Hide or manipulate traffic in a way that harms Panicly, providers, or other users
  • Use Panicly to support illegal, fraudulent, harmful, or abusive activity

We may suspend or terminate accounts that violate these rules.

11. Usage limits

Your plan may include limits such as:

  • Included monthly requests
  • Requests per second
  • Number of projects or applications
  • Log retention
  • Rule availability
  • Support level
  • Feature access
  • Extra usage pricing

If you exceed your plan limits, we may charge extra usage fees, throttle requests, block requests, require you to upgrade, or suspend access until payment or usage issues are resolved.

Usage is measured by Panicly’s systems. You are responsible for monitoring your usage and configuring limits appropriately.

12. Billing and payments

Paid plans are billed through our payment processor.

By subscribing to a paid plan, you authorize us and our payment processor to charge your payment method for:

  • Subscription fees
  • Usage-based fees
  • Extra usage
  • Taxes
  • Other charges shown at checkout or in your account

Fees are charged according to your selected plan and billing cycle. Unless stated otherwise, payments are non-refundable.

You are responsible for keeping your billing information accurate and up to date. If payment fails, we may suspend or terminate access to paid features.

13. Taxes

Fees may be exclusive of taxes unless stated otherwise.

You are responsible for any applicable taxes, duties, levies, or similar charges related to your use of Panicly, except taxes based on our income.

14. Plan changes and pricing changes

You may be able to upgrade, downgrade, or cancel your plan from your account settings or billing portal.

If you change plans, billing may be prorated, adjusted, or applied at the next billing cycle depending on the billing configuration.

We may change our pricing, plans, included usage, limits, or features from time to time.

If a pricing change affects an active paid subscription, we will take reasonable steps to notify affected users before the change applies.

15. Cancellations

You may cancel your subscription at any time.

Cancellation stops future renewal charges but does not automatically refund past payments.

After cancellation, you may lose access to paid features, logs, projects, settings, or usage allowances at the end of your billing period or sooner if required for security, legal, or abuse-prevention reasons.

16. Availability and maintenance

We work to keep Panicly reliable, but we do not guarantee uninterrupted or error-free service.

Panicly may be unavailable due to:

  • Maintenance
  • Infrastructure issues
  • Provider downtime
  • Network failures
  • Security incidents
  • Abuse prevention
  • Force majeure events
  • Changes to third-party services

Panicly may provide features such as kill switch, reroute, or continuity options, but these features are not a guarantee that your application will always remain available.

You are responsible for designing your application with appropriate fallbacks, limits, monitoring, and fail-safe behavior.

17. Security

We use reasonable technical and organizational measures to protect Panicly and Customer Data. However, no system is perfectly secure.

You are responsible for:

  • Securing your account
  • Protecting API keys
  • Configuring project rules correctly
  • Limiting access to your workspace
  • Reviewing logs and usage
  • Rotating exposed credentials
  • Responding to suspicious activity in your own application

18. Confidentiality

You may receive non-public information about Panicly, including technical details, private features, security information, pricing arrangements, beta features, or business information.

You must not disclose confidential Panicly information without our permission.

We will treat non-public Customer Data as confidential and will only use it as described in these Terms and our Privacy Policy.

19. Beta and experimental features

Panicly may offer beta, preview, experimental, or early access features.

These features may be incomplete, unstable, changed, restricted, or removed at any time.

Beta features are provided as-is and may not be covered by the same support, reliability, or availability expectations as generally available features.

You should not rely on beta features for critical production workloads unless you accept the risk.

20. Intellectual property

Panicly and its software, systems, design, branding, documentation, APIs, dashboards, and technology are owned by Panicly or its licensors.

These Terms do not give you ownership of Panicly.

You may not copy, modify, resell, reverse engineer, or create derivative works from Panicly except where allowed by law or with our written permission.

You retain ownership of your Customer Data, applications, prompts, outputs, and configurations, subject to the limited rights granted to Panicly to provide the service.

21. Feedback

If you send us feedback, suggestions, ideas, bug reports, or feature requests, we may use them without restriction or compensation to you.

This does not give us rights to your Customer Data.

22. Support

Support availability depends on your plan.

We may provide support by email, dashboard, documentation, or other channels.

We do not guarantee response times unless a specific written agreement says otherwise.

23. Suspension and termination

We may suspend or terminate your access to Panicly if:

  • You violate these Terms
  • You fail to pay fees
  • Your usage creates security, legal, operational, or abuse risks
  • Your account is involved in fraud, abuse, or unauthorized activity
  • We are required to do so by law
  • Continued service would create risk for Panicly, other users, providers, or the public

We may also suspend specific projects, API keys, features, or traffic instead of the entire account. You may stop using Panicly at any time.

24. Effect of termination

After termination or cancellation:

  • Your right to use Panicly ends
  • We may delete or disable access to your account, projects, logs, and settings
  • Outstanding fees remain due
  • Some information may be retained as required for legal, billing, accounting, security, fraud-prevention, backup, or compliance purposes

Sections that by their nature should survive termination will continue to apply, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, and dispute terms.

25. Disclaimers

Panicly is provided on an “as is” and “as available” basis.

To the fullest extent allowed by law, we disclaim warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted service
  • Error-free operation
  • Complete accuracy of logs, estimates, detection, or usage data
  • Guaranteed prevention of abuse, fraud, excessive usage, or security incidents

Panicly helps reduce risk, but it cannot guarantee that all abuse, unexpected costs, suspicious traffic, provider failures, or security incidents will be prevented.

26. Limitation of liability

To the fullest extent allowed by law, Panicly will not be liable for:

  • Lost profits
  • Lost revenue
  • Lost data
  • Business interruption
  • Provider charges
  • Provider downtime
  • AI output errors
  • Security incidents outside our reasonable control
  • Indirect, incidental, special, consequential, exemplary, or punitive damages

To the fullest extent allowed by law, Panicly’s total liability for any claim relating to the service will not exceed the amount you paid to Panicly in the three months before the event giving rise to the claim.

27. Indemnification

You agree to defend, indemnify, and hold harmless Panicly from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your use of Panicly
  • Your application
  • Your Customer Data
  • Your users
  • Your violation of these Terms
  • Your violation of law
  • Your violation of third-party rights
  • Your use of third-party AI providers
  • Your failure to properly notify users or obtain required consent

28. Changes to these Terms

We may update these Terms from time to time.

If we make material changes, we will take reasonable steps to notify users, such as updating the date above, posting a notice, or sending an email.

Your continued use of Panicly after changes take effect means you accept the updated Terms.

29. Governing law

These Terms are governed by the laws of France, unless another jurisdiction is required by applicable law.

Courts located in France will have jurisdiction over disputes, unless applicable law requires otherwise.
